Legal Agreement

All visitors (“user”, “you”, “your”) to the TeeHub website at www.teehub.com (“the website”) are entering into a legally binding agreement based on the following Terms when accessing the website. This agreement is established between the user and TeeHub (TP Apparel, LLC), and your use of this website indicates your ongoing acceptance of these Terms.

Eligibility

Our services are exclusively available to individuals who can enter into legally binding contracts as per applicable law. Users must be at least 16 years of age to utilize our services.

Amendment to these terms

We reserve the right to modify these Terms periodically. Any alterations will be communicated to you via email to the address registered with TeeHub or by displaying information regarding the changes on our homepage, or both. Your continued use of the website following any modifications will signify your acceptance of the updated Terms.

Our service

TeeHub offers a comprehensive suite of services (the "TeeHub service") that enables users to publish, sell, and purchase art; engage with other members; and benefit from TeeHub's facilitation of product fulfillment. These services include payment processing, customer support, and third-party product manufacturing. Additionally, TeeHub will coordinate the delivery of the physical product to your customer.

The digital content on the platform ("your content") can include information, text, data, graphics, images, photographs, sound, video, or any other material posted online by users. Any content that you upload to your account’s storefront is referred to as your "art". Once you decide to publish it, your art becomes accessible to all users of the platform. You can either order a physical product featuring your own art or put your art up for sale as part of a physical product. When you or a customer places an order, TeeHub will transmit your specifications to third-party manufacturers who will then produce and deliver the physical product in the form you or the customer specified ("the product").

Members

You have the opportunity to become a registered member (“member”) of the TeeHub platform by creating a password-protected account. During registration, you will need to select a username and password. Membership is a prerequisite for any form of content placement on the website, including participation in forums or reviews. TeeHub reserves the right, at its sole discretion, to reject any username deemed inappropriate and/or decline membership to any individual.

Any information you opt to disclose in the public section of your profile may be accessed, shared, or linked to within the website or as part of TeeHub's service delivery. We prioritize your privacy and encourage you to review our Privacy Policy for detailed information on how we manage your personal data.

Passwords

You bear full responsibility for any actions taken on the TeeHub website using your password, including purchases, sales, content display, or message sending, regardless of whether you authorized or intended these actions. Any loss incurred as a result of your password being used, whether by yourself or another individual, is solely your responsibility.

You agree not to share your password with any other person and to ensure that it is not stored in a location accessible to anyone other than yourself. If you suspect that someone else has knowledge of your password, it is imperative that you change it immediately.

Uploading Content to TeeHub

You retain the copyright to any content you submit or upload to the TeeHub website. By utilizing TeeHub services, you grant TeeHub a non-exclusive, royalty-free license to utilize and archive the content in alignment with or as reasonably anticipated by these Terms.

When submitting or uploading content on the website, you affirm and assure that:

- You hold the copyright to the content, or if not the owner, you possess permission to utilize the content, along with all necessary rights to display, reproduce, and sell the content.
- The content you upload will not violate the intellectual property rights or any other rights of any individual or entity, encompassing copyright, moral rights, trademarks, patents, or rights of privacy or publicity.
- Your usage of the website will adhere to all applicable laws, regulations, and rules.
- The content does not contain material that defames or disparages any person, group of people, races, religion, or religious group. Furthermore, it is not obscene, pornographic, indecent, harassing, threatening, harmful, invasive of privacy or publicity rights, abusive, inflammatory, or otherwise objectionable.
- The content does not incorporate malicious code, including but not limited to viruses, Trojan horses, worms, time bombs, cancelbots, or any other computer programming routines that may harm, disrupt, surreptitiously intercept, or expropriate any system, program, data, or personal information.
- The content is not deceptive or misleading and does not promote or disseminate fraudulent goods, services, schemes, or promotions.

TeeHub reserves the right to assess and, if deemed necessary at its sole discretion, remove any content from the website and/or terminate your account, should such content be found to violate your agreement with us and/or any applicable laws or regulations. You agree to indemnify TeeHub for any direct or indirect damages incurred due to your breach of one or more of these warranties.

Offering Your Art for Sale on a Physical Product

Any member has the opportunity to offer their artwork for sale on a physical product through the TeeHub website by engaging TeeHub to facilitate the transaction in accordance with the terms outlined in the Services Agreement provided in Appendix A. By accepting these Terms, you explicitly agree to the Services Agreement detailed in Appendix A, which becomes effective from the date you initiate the sale of your first artwork on a physical product. Your ongoing use of the website signifies your continuous acceptance of the Terms outlined therein, subject to updates as deemed necessary.

Purchasing a Product on TeeHub

Users can make purchases on the TeeHub website using a valid credit card or PayPal account.

Membership is not a requirement for purchasing a product.

The price you pay is determined at the time of purchase and remains fixed.

If you wish to cancel your order, you may do so within two (2) hours of placing it by visiting the "Change My Order" section or contacting our Customer Service team at [email protected].

It is the customer's responsibility to ensure the accuracy of the delivery address provided. TeeHub bears no responsibility for any product that a customer fails to receive due to inaccuracies in the provided delivery address.

We do not guarantee, endorse, or make representations regarding any content or artwork offered or provided by any member.

Payment Processing After Your Product is Sold

Payment terms are elaborated upon in the Services Agreement.If you have any questions, you can get in touch with us via the "Contact Us" section.

Delivery

Delivery will be arranged based on the customer's instructions via postal or courier service, with the associated costs covered by the customer at the indicated price upon purchase. TeeHub will assess shipping charges to the customer.

Damaged Goods

In the event that a product, whether in electronic or printed form, is delivered to a customer and is found to be electronically or physically damaged, TeeHub will promptly liaise with the manufacturer or seller to arrange for a replacement copy of the product upon receipt of reasonable proof of the damage.

If you happen to receive a damaged product, please notify TeeHub's Customer Service team by emailing [email protected]. Provide details regarding the nature of the damage, and we will arrange for a new product to be dispatched to you at no additional cost. Further details can be found in our Customers’ FAQ section.

Please note that content publication on the website is under creator control, and while we strive to maintain quality standards, we do not vet all content. It is the responsibility of the customer to verify the quality of the content (including but not limited to spelling errors, grammatical mistakes, formatting, design, or overall appearance) prior to placing an order. This policy regarding damaged goods pertains solely to the physical product and not to the content itself.

Excess Inventory

You authorize TeeHub to manage any surplus inventory resulting from refunds, reprints, fraudulent activities, product sampling, or promotional campaigns at our discretion.

Reporting Inappropriate Content to TeeHub

TeeHub does not conduct manual screening of content prior to its display on the website. Therefore, it is possible for members to inadvertently or intentionally submit and showcase content that violates these Terms.

Inappropriate content encompasses, but is not limited to, material that infringes upon the copyright or other intellectual property rights of any individual or company, as well as content that defames or disparages any person, group of people, races, religion, or religious group. Additionally, content that is deemed obscene, pornographic, indecent, harassing, threatening, harmful, invasive of privacy or publicity rights, abusive, inflammatory, or otherwise objectionable is considered inappropriate. TeeHub reserves the right (though not the obligation) to remove or modify such content.

We encourage you to assist us by promptly notifying us of any inappropriate or potentially inappropriate content you encounter on the website by emailing [email protected]. If you suspect that your copyright or other intellectual property rights are being violated, you have the option to lodge a formal complaint using the procedures outlined in our Intellectual Property Policy.

Specific Cautions

You are responsible for ensuring that your access to this website and the TeeHub service complies with all applicable laws and regulations.

It is your responsibility to take appropriate precautions to safeguard your own computer system from risks such as viruses, malicious code, or other forms of interference that may arise during your use of this website or any linked websites. We disclaim liability for any interference or damage to your computer system resulting from your use of this website or any linked websites.

We do not accept liability for any losses arising directly or indirectly from factors such as failure to provide the TeeHub service, data corruption or loss, errors or interruptions, suspension or discontinuation of the TeeHub service, or transmissions by others that contravene registered members' obligations as outlined in these Terms.

You acknowledge that we may not be able to verify the identity of other registered members or prevent them from acting under false pretenses or in a manner that infringes upon the rights of any individual.

Intellectual Property Rights and License

By submitting listings to TeeHub, you grant TeeHub a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to utilize, reproduce, distribute, create derivative works of, and display the content of such listings in connection with TeeHub's (and its successors' and affiliates') services and business operations aimed at facilitating the sale of your product. This includes but is not limited to promoting and redistributing parts or all of the TeeHub site (and derivative works thereof) across various media formats and channels. Additionally, you grant each user of the TeeHub site a non-exclusive license to access your content through the site and to utilize, reproduce, distribute, and display such content within the functionalities of the site and in accordance with these Terms. The aforementioned licenses will terminate within a commercially reasonable timeframe after you remove or delete your listings from the TeeHub site. However, the licenses granted by you in user comments submitted are perpetual and irrevocable.

All intellectual property rights in this website and the TeeHub service, including the software and systems underlying the TeeHub service, as well as text, graphics, logos, icons, sound recordings, and software, are owned by or licensed to us. Except as expressly authorized by these Terms and subject to the conditions prescribed under relevant copyright and trademark legislation worldwide, you may not use, adapt, reproduce, store, distribute, print, display, perform, publish, or create derivative works from any part of this website. Similarly, you may not commercialize any information, products, or services obtained from any part of this website without our prior written permission. If you use any of our trademarks in reference to our activities, products, or services, you must include a statement attributing that trademark to us. We do not warrant that uploads by members to this website will be safeguarded against loss, misuse, or alteration by third parties. Indemnification

You agree to indemnify, defend, and hold TeeHub, its officers, directors, employees, agents, representatives, as well as all third parties involved in printing, manufacturing, and/or fulfilling the products you sell via the website, including their officers, directors, employees, agents, and representatives, harmless from and against any and all claims, damages, losses, liabilities, costs (including reasonable legal fees), or other expenses that arise directly or indirectly from:

- Your violation of any provision of these Terms.
- Any allegation that materials you submit to TeeHub or transmit to the website infringe or otherwise violate the copyright, trademark, trade secret, or other intellectual property or other rights of any third party.
- Your activities in connection with the website.

This indemnity applies regardless of the negligence of any party, including any indemnified person.

Privacy Policy

We prioritize your privacy. Users of our website should refer to our Privacy Policy, which is incorporated into these Terms by reference, to understand how we collect and utilize personal information.

Information Security

While we strive to protect your information, please note that no data transmission over the Internet can be guaranteed as completely secure. Accordingly, any information you transmit to us is done so at your own risk.

Termination of Access

Access to this website may be terminated at any time by TeeHub without prior notice. However, our disclaimer will remain in effect despite any such termination.

Dispute Resolution

You agree that any disputes arising from our Terms or relating to your use of any part of the TeeHub service will be exclusively resolved through confidential binding arbitration held in Denver, Colorado. Disputes will be resolved in accordance with the rules of the American Arbitration Association and Colorado law, without regard to conflicts of law principles.

You and TeeHub consent to the personal and exclusive jurisdiction of federal and state courts in Denver County for enforcing any arbitration award. However, TeeHub may seek injunctive or other equitable relief from a court of competent jurisdiction within the state of Colorado. Dispute resolution proceedings will be conducted solely on an individual basis, and not as a class, consolidated, or representative action. Any cause of action arising out of or related to the TeeHub site or this Agreement must commence within one (1) year after the cause of action arose, or it is permanently barred.

If you have a dispute with one or more users or sellers, you release TeeHub (including TeeHub officers, directors, agents, subsidiaries, joint ventures, and employees) from claims, demands, and damages of every kind, known and unknown, arising out of or connected with such disputes. Colorado residents waive any provisions of Colorado law contrary to this release.

General

We accept no liability for any failure to comply with these Terms due to circumstances beyond our reasonable control.

Waiving rights under these Terms on one occasion does not automatically waive those rights on any other occasion.

If any provision of these Terms is deemed invalid, unenforceable, or illegal for any reason, the remaining provisions shall remain in full force.

You may close your TeeHub account at any time by emailing [email protected] to request closure. We will then proceed to delete your account accordingly.

APPENDIX A - Service Agreement

If you intend to utilize TeeHub's services to market and sell your artwork on physical products and to manage the manufacturing of these products once orders are placed through www.teehub.com ("the website"), you will be bound by the terms outlined in this Service Agreement. TeeHub will provide these services under the following conditions, along with facilitating product delivery to customers.

1. Services
1.1 Acting as an independent contractor, TeeHub will market your products to customers via the website and secure orders based on your instructions. TeeHub will then arrange for third-party suppliers to fulfill these orders by managing payment and manufacturing processes ("Services"). While TeeHub acts as an independent contractor for these services, it acts as your agent specifically in the sales transaction between you and the purchasing customer, as outlined in clause 5.2 below.

1.2 TeeHub will provide these Services as per the terms of this agreement until termination in accordance with its provisions.

1.3 You acknowledge TeeHub's freedom to act on behalf of other individuals interested in promoting and marketing their arts through the website, even if their art is similar to yours.

2. License and Instructions
2.1 You grant TeeHub a non-exclusive, royalty-free license to use your intellectual property related to your products to facilitate the Services.

2.2 You instruct TeeHub to manage the sale of your products, including payment processing and manufacturing, in accordance with reasonable business practices unless otherwise instructed by you prior to customer order placement.

3. Product Sales
3.1 The retail price for your products charged to customers is determined by a flat marketplace-wide rate, including manufacturing fees, TeeHub's hosting fee, your margin, and relevant taxes. Shipping charges are added to this price.

3.2 Retail prices may change without notice, such as during promotional periods or discounts, but will not change after a customer places an order.

3.3 TeeHub will notify you via email when an order for your products is placed.

3.4 TeeHub does not guarantee the procurement of orders for your products or any benefit from this Agreement.

3.5 Title and risk for loss of items pass from you to the customer without passing through TeeHub before delivery.

4. Payment Terms
4.1 You authorize TeeHub to collect, hold, and distribute sales proceeds from customers, deducting fees and taxes, before distributing your earnings.

4.2 Earnings are paid out monthly via PayPal or Payoneer, with payments processed on the 1th-3th day of the following month for sales made in the previous month.

4.3 Payment thresholds and methods are subject to TeeHub's discretion, with Payoneer payments requiring a $20 USD threshold.

4.4 You must ensure your account details are up to date to avoid payment delays or forfeiture.

5. Tax Responsibility
5.1 Each transaction is between you and the customer, with TeeHub acting as your agent. You are responsible for transactional taxes associated with each sale.

5.2 TeeHub may collect or pay taxes on your behalf if required by law, and you authorize TeeHub to do so.

6. Indemnity
6.1 You agree to indemnify and hold TeeHub harmless from any claims, expenses, or liabilities arising from your obligations or actions under this Agreement.

7. Limitation of Liability
7.1 TeeHub will not be liable for any consequential loss or damage arising from this Agreement, and all implied warranties are expressly excluded.

8. Termination
8.1 You can terminate this Agreement by closing your account as described in the Terms & Conditions.

8.2 TeeHub may terminate this Agreement by written notice at any time.

8.3 Upon termination, TeeHub will complete any ongoing transactions relating to your products as per this Agreement before termination takes effect.

APPENDIX B - Services Amendment

Should you wish to modify or enhance the services outlined in Appendix A of this Agreement, both parties (referred to as "the Parties") may enter into an amendment, known as Appendix B, to further specify the terms and conditions of such modifications. The following terms will apply:

1. Services Enhancement
1.1 The Parties may mutually agree to expand or adjust the services provided under Appendix A ("Services Enhancement"). Such Services Enhancement will be detailed in writing and incorporated into Appendix B of this Agreement.

1.2 The Services Enhancement will commence upon the effective date specified in Appendix B and will remain in effect until terminated in accordance with the provisions outlined therein.

2. Additional Services
2.1 TeeHub may offer additional services beyond those outlined in Appendix A ("Additional Services"). Any Additional Services requested by you will be subject to negotiation and agreement between the Parties and detailed in writing as part of Appendix B.

2.2 Additional Services will be provided by TeeHub upon the terms and conditions set forth in Appendix B, along with any associated fees or charges agreed upon by the Parties.

3. Fees and Payment
3.1 Any fees or charges associated with the Services Enhancement or Additional Services will be agreed upon by the Parties and specified in writing within Appendix B.

3.2 Payment terms for the Services Enhancement or Additional Services will be outlined in Appendix B and will apply in addition to the payment terms specified in Appendix A.

4. Term and Termination
4.1 The term of the Services Enhancement or Additional Services will be specified in Appendix B and may be terminated by either Party in accordance with the termination provisions outlined therein.

4.2 Upon termination of the Services Enhancement or Additional Services, TeeHub will cease providing the enhanced or additional services in accordance with the agreed-upon terms.

5. Miscellaneous
5.1 Any provisions not addressed in Appendix B will remain subject to the terms and conditions of the main Agreement, including Appendix A.

5.2 Appendix B may only be amended or modified by written agreement signed by authorized representatives of both Parties.

IN WITNESS WHEREOF, the Parties have executed this Appendix B as of the effective date specified herein.
